This Affiliate and Brand Ambassador Program Agreement ("Agreement") governs participation in the promotional partnership program operated by ZAFFERANO & CO GROUP LLC.

By applying to or participating in the program, the participant agrees to comply with all the terms and conditions described in this Agreement.

Participation in this program does not create any employment, partnership, joint venture, or agency relationship between the participant and ZAFFERANO & CO GROUP LLC. All participants act as independent promotional partners.

Program Structure

The promotional program operated by ZAFFERANO & CO GROUP LLC includes two participation levels:

• Affiliate Partner
• Brand Ambassador

Each level has different eligibility requirements, commission structures, and potential incentive opportunities.

All applicants must be reviewed and approved by the Company before being accepted into the program. The Company reserves the right to approve or reject any application at its sole discretion.

Affiliate Partner

Affiliate Partners are approved participants who promote the Company's products using their unique affiliate tracking links.

Affiliate Partners receive a commission equal to ten percent (10%) of the net sale value of qualifying purchases generated through their affiliate links.

Affiliate Partners are independent promotional partners and may not represent themselves as employees, agents, or official representatives of ZAFFERANO & CO GROUP LLC.

Affiliate Partners may not claim Brand Ambassador status unless they have been formally approved by the Company.

Brand Ambassador

Brand Ambassador status is reserved for high-level influencers with significant audience reach and promotional capabilities.

Approved Brand Ambassadors receive a commission equal to fifteen percent (15%) of the net sale value of qualifying purchases generated through their approved affiliate links.

Brand Ambassador status must be granted directly by ZAFFERANO & CO GROUP LLC and is not automatically assigned.

Brand Ambassador Eligibility Requirements

To qualify for Brand Ambassador status, applicants must meet the following minimum criteria:

• a minimum of 100,000 verified followers or subscribers on a recognized social media platform
• a public and active social media profile
• verifiable engagement with their audience
• content aligned with the brand identity of ZAFFERANO & CO GROUP LLC

The Company reserves the right to verify audience authenticity, follower quality, and engagement metrics. Meeting the minimum follower threshold does not guarantee approval.

Brand Ambassador Performance Expectations

Brand Ambassador status is intended for high-performing promotional partners capable of generating significant verified sales.

To maintain Brand Ambassador privileges and eligibility for additional incentives, ambassadors are expected to generate annual verified sales significantly exceeding USD $100,000 through their affiliate tracking links.

Sales performance may be periodically reviewed by the Company.

If an ambassador fails to maintain satisfactory performance, the Company may revoke Brand Ambassador status and reclassify the participant as a standard Affiliate Partner.

Brand Ambassador Incentive Program

Brand Ambassadors may become eligible for additional incentive packages based on promotional performance and verified annual sales.

Such incentives may include, but are not limited to:

• luxury hospitality experiences at the Company’s boutique hotel property in Italy
• sponsored travel experiences
• first-class airline tickets for approved promotional collaborations
• exclusive brand events and product launches
• premium product packages
• special marketing collaborations with the Company

All incentive packages are discretionary and determined solely by ZAFFERANO & CO GROUP LLC.

Commission Basis – Payment Per Verified Sale Only

Commissions are paid strictly on a per-sale basis.

A commission is earned only when a real and verified purchase is completed through the official sales channels operated by ZAFFERANO & CO GROUP LLC.

Clicks, impressions, views, traffic generation, advertising exposure, or promotional content do not qualify for compensation unless they result in a verified purchase completed through the Company’s checkout system.

The Company pays only for verified sales completed on its own platform or sales systems.

Commission Eligibility

A transaction qualifies for commission only when all of the following conditions are satisfied:

• the order has been successfully paid
• the payment has been verified and approved
• the order has not been cancelled
• the order has not been refunded
• the order has not resulted in a chargeback or payment dispute
• the product has been delivered to the customer
• the transaction has passed fraud detection and validation procedures

Until all these conditions are satisfied, commissions remain pending and subject to cancellation.

Minimum Payment Threshold

Affiliate and Brand Ambassador commissions will only be paid once the participant has accumulated a minimum balance of USD $500 in approved commissions.

If the commission balance is below this threshold, the amount will remain in the participant’s account and will roll forward until the minimum payout threshold is reached.

The Company is not obligated to issue payments below the minimum payout threshold.

Refunds, Returns and Chargebacks

If a transaction associated with an affiliate or ambassador referral is later:

• refunded
• cancelled
• returned
• disputed
• subject to a chargeback

any associated commission will be automatically cancelled.

If a commission has already been paid for such a transaction, ZAFFERANO & CO GROUP LLC reserves the right to reverse the commission or deduct the amount from future payments.

Self Purchases and Related Transactions

Affiliate Partners and Brand Ambassadors may not generate commissions through purchases made by:

• themselves
• family members
• employees
• business partners
• controlled accounts
• coordinated purchase groups

Such transactions may be classified as self referrals and will not qualify for commission.

Fraud Prevention

Any attempt to manipulate or abuse the affiliate system may result in immediate termination from the program.

Prohibited activities include, but are not limited to:

• artificial traffic generation
• automated clicks or bot traffic
• cookie stuffing
• fake orders
• misleading promotional practices
• coordinated purchase schemes
• manipulation of tracking systems
• deceptive or fraudulent marketing practices

If such activity is detected, the Company may cancel pending commissions, reverse credited commissions, terminate the affiliate account, and permanently remove the participant from the program.

Advertising and Trademark Restrictions

Affiliates and Brand Ambassadors may not purchase advertising using the Company’s brand name, trademarks, or variations of such terms in search engines, social media platforms, or other advertising networks without prior written authorization.

Unauthorized brand bidding or trademark use may result in termination from the program and cancellation of commissions.

No Guaranteed Earnings

Participation in the program does not guarantee any income or financial results.

All earnings depend solely on verified sales generated through approved affiliate links.

Payment Method

All commissions will be paid using payment methods selected by ZAFFERANO & CO GROUP LLC, including but not limited to bank transfer, PayPal, or other approved payment systems.

Participants are responsible for providing accurate payment information.

Program Modification

ZAFFERANO & CO GROUP LLC reserves the right to modify, suspend, or terminate the Affiliate and Brand Ambassador Program at any time, including commission structures, rules, and eligibility requirements.

Program Termination

The Company may terminate participation in the program at any time if a participant violates this Agreement or engages in conduct that may harm the brand or the Company’s commercial interests.

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York, United States.

Any disputes arising under this Agreement shall be resolved exclusively in the courts located in the State of New York.

Final Authority

All determinations regarding commission eligibility, fraud review, incentive eligibility, and participation in the program are made solely by ZAFFERANO & CO GROUP LLC.

All decisions made by the Company shall be final and binding.
